      @sahil100, you’ll find that around 50% – 70% of global is the same as English.

      If you don’t believe me, download an exam from the last 4 years for both variants and check for yourself

      Hi, if you listened carefully to the first 1 or 2 lectures, you would hear Mike saying, this chapter won’t be covered in a lecture
      it’s a home study

        @wasibutt, Only if you record them for yourself, hide them and then search for where you hid them. That would be an interesting diversion away from the onerous task of reading those two chapters for yourself! 🙂

    Article in student accountant says and I quote “one or more persons must subscribe their name to a memorandum of association”,and it says “Act allows a single person to form any type of company , either public or private”.
    Promoters are people who undertake to form the company and who take necessary steps to form the company. Considering that a person acting purely in professional capacity cannot be a promoter , so , it is a member who forms a company and is a promoter when he instructs a person, acting purely in professional capacity to form a company.
    Considering all the above details I am interested in knowing whose agent is promoter now , as promoter is the member in above scenario and assuming he is the single member and at the same point in time director of the company. I mean is promoter his own agent?
    Please explain

      @wahab11, Hi Wahab11, my feeling is that under the law of agency, for one peron to be called an agent there necessarilly has to be another independent party to be the principal. Therefore I feel that a promoter cannot be said to be his own agent as this would not make legal sense.

      Secondly, a promoter whether or not engaged by a third party to incorporate a company cannot, following the decision in Kelner v. Baxter; be said to be an agent of the company as the company does not exist before it is granted a Certificate of Incorporation.

      Therefore, my opinion is that a promoter incorporating a company is no one’s agent. And when he instructs another in their professional capacity to incorporate a company, the person so instructed becomes an agent of the promoter. I hope you find the foregoing satisfactory.

    Memorandum of association
    I want to know , why does a person has to subscribe to memorandum of association under companies act 2006, considering articles of association is major document not memorandum of association . What sense does it make to you?

    Two questions arise:
    No.1 : what does term subscribe mean in above quoted statement?
    No.2 : Promoters are people who undertake to form the company and who take necessary steps to form the company. Considering that a person acting purely in professional capacity cannot be a promoter , so , it is a member who forms a company and is a promoter when he instructs a person, acting purely in professional capacity to form a company. Bearing all that in mind and statements quoted from article in student accountant , why can not a public company have a single member in minimum?
    Please explain.

    I would like to know two things
    no.1 : bpp claims a public company must have 1 member in minimum where as lectures tell us the no. is 2, what is correct
    no. 2 : bpp book says that promoters are agents , so whom agents they are or in what regard they are agents

      @umairhanif, I believe that, probably if you listen, you’ll hear at the start of chapter 3 recording, the message that says “You’re going to have to read these on your own”

      If that message in fact does not appear at the start of Chapter 3, then here’s a message from me 🙂

      “You’re going to have to read these on your own!”

      Sorry, but they really are easy enough to read and understand and the lectures are delivered in a restricted period of time so they concentrate on the bigger topics which “always” come up in the F4 exam
