Short answer
This statement is really background information explaining the wider purpose of CG, rather than something directly relevant to the AAA exam.
In the exam, it is the principles and provisions of the UK Corporate Governance Code that are much more likely to be relevant in practical scenarios (e.g. to evaluate weaknesses in a company's CG arrangements, such as an ineffective audit committee, a lack of independent NEDs, inadequate oversight of financial reporting or weaknesses in internal controls, and recommend improvements).
Longer answer
It means that good CG should help ensure that businesses operate honestly and responsibly, investors can make informed decisions, and companies are properly monitored and held accountable.
Breaking it down:
Promote transparent and fair markets
Companies should provide reliable information so that investors can make informed decisions.
E.g. if a company is experiencing financial difficulties, it should not conceal these problems or deliberately overstate its profits to attract investors. Doing so would mislead investors and undermine confidence in financial markets.
Promote the efficient allocation of resources
Help ensure that money and other resources are directed towards businesses which can make the best use of them.
E.g. two companies seeking investment. Company A is profitable and well-managed. Company B is making substantial losses but is concealing them through misleading financial statements.
Investors might mistakenly invest in B rather than A. Reliable financial reporting helps investors make better decisions about where to invest their money.
Support effective supervision and enforcement
There should be systems to monitor companies, ensure that they comply with relevant requirements and take action where necessary.
E.g. an effective audit committee should challenge management over questionable accounting treatments, and regulators should be able to investigate breaches of financial reporting requirements and impose appropriate sanctions.
