Whether control exists is dependent whether a dominant influence is able to be exercised by an entity over another entity or entities operating and financial policies. This has to be assessed as a whole and is dependent on a number of factors. Voting rights are important in there own right when undertaking this assessment. Also important are voting agreements, options to buy more shares with voting rights and instruments that can can be converted to something that gains voting rights. This is not an exhaustive list. The most important thing is to judge whether an entity has a dominant influence over another entities operating and financial policies. Hope this helps.
