NED independence compromised or not?

One of the NEDs of XYZ co runs a specialist consultancy company. She has received separate fees from her consultancy company for providing consultancy advice to the company in which she is NED. Does this compromise the independence of the NED or not?

The NED has a financial relationship with the company (other than the NED fee) so that will compromise independence.
