According to UNCCISG, where one party writes a letter of offer giving them three days,when does the time period for accepting an offer commence ?
the answer is on the date shown on the envelope
but i find it confusing because according to UNCCISG an offer in a letter becomes effective when it reaches the recipient so shouldn’t the period start once the receiver has received the letter.
ThanksSeptember 17, 2023 at 8:50 am #692128Hmmm! That has me confused too! My initial reaction to the question is that the start date should be the date on which the addressee receives the letter. I checked with Artificial Intelligence and was given confirmation that my reaction was correct. But when I asked AI what was the definitive section of the Convention, AI couldn’t answer that.
So then I tried looking through the Convention itself searching for definitive authority. But couldn’t find it (the Convention is too long!)
What is the source of the question? BPP? Kaplan? Other?

I have read in other forums not to type out the questions because it would be a breach of some sort, that’s why I refrained from typing it out. I guess it’s alright then,

Yes, a company CAN ratify or adopt a pre-incorporation contract but that would require a SPECIAL resolution. So the statement in the question is, in fact, false – the company CANNOT ratify or formally adopt a pre-incorporation contract by ordinary resolution.
