Q: “In a private company, any resolution may be passed as a written resolution”
Is this statement true?
A: No, a resolution to remove a director or an auditor cannot be passed as a written resolution but any other resolution may be.
What does a written resolution corresponds to?
See page 96 of the notes. (If you download the pdf you can search on key words to locate details.)
Thanks.
