whatis the difference between a de facto director and a shadow director?

Not a lot! I suppose a de facto director is one that OPENLY acts as a director even though not properly appointed whereas ... ... a shadow director lurks in the shadows and instructs the directors on how they should operate. Being in the shadows it is hoped that no one will recognise this person OK?
