Yes even i was thinking that two tier board should be slower as it involves strategy direction from supervisory board and then it needs to be implemented by management board so it would be a slower decision making as per my understanding …please correct me if i am wrong

Also in particular i cannot understand that how govt regulations have created barriers to entry …network providers have got license from government untill 2020 and it is restricted to four network.providers …i cannot understand why the commercial terms of any deal are likely to be less favourable than the terms offered to autofone ? For the first point you mean to say that risk analysis shoud not only be measured in terms of the cost of mitigating risks but also the benefits achieved on the mitigation of risks should also be materialized …

For second point the view point of CEO is that risk management is just an extra over head cost and thus they are avoiding to spend time and efforts on risk management …

Sir in the same question when we calculate present value of cashflows by applying the discount factor of 11%we get 47.75m so are these cash flows at year 0 or after year 2 as i cannot understand why have we multiplied 47.74 to 2 year discount rate in order to get 38.77m which is the pv of returns after 2 years so confusing please explain

I am okay with the workings till 81.2 which gives maximum premium accrued to kerrin cos shareholders but why are we calculating new shares issued by kerrin co ..as kerrin is acquiring danton co so the new shares will be issued to danton and the shareholding of danton co shareholders will remain the same ? Is that the reason ..

Moreover please tell how 2.1 and 1 is calculated ?

My question is why they have included 120m if ts not included in the reconstruction plan question says that bond covenant states that should conejo co borrowing increase the coupon payable on these bonds will increase by 37 basis points…so its previous borrowing was 120m and new borrowing is 1320 so shouldnt we applying 0.37% to (1320 and not 120m )?

Okay so why are we using 120m of debt and not 1320 ie the finance raised for reconstruction?
