maam why should just MAJORITY be NEDs? Should not the entire nomination committee be comprised of independent NEDs? who else could be more unbiased than independent NEDs?
surely it can’t be the Board members or directors appointing themselves by remaining a minority and liasioning with some independent NEDs!
Decisions are usually based on majorities – not unanimity – so there’s no need for committees to be 100% independent non-executive.
I don’t understand your 2nd post – if someone could come to “an arrangement” with an independent NED I suggest that NED cannot be independent!
