    1) What is the latest date that a PLC incorporated on 1 May 2010, could hold its third AGM?
    -why is the answer 31 Dec 2013?

    2)When a plc wishes to pass a resolution at an AGM to appoint a new director aged 57, how many days’ notice of the meeting should normally be given ?
    a.7
    b.21
    c.14
    d.28

    Shouldn’t it be 28 days?

    3)Does authorising the directors to issue more shares require a special resolution to be passed?

    4)Which 2 of the following are ‘special’ about a resolution to not reappoint a retiring auditor at the AGM where the existing auditor would normally retire at the end of the year of office?
    a.Resolution
    b.manager
    c.business
    d.notice
    why is the answer C and D?

    5)Hamble is the Chief Executive Officer of Bead Ltd. In a communication with one of Bead Ltd’s suppliers,
    Hamble states that Avery is now an agent of Bead Ltd and that the supplier should in future communicate
    with Bead Ltd through Avery.
    Which type of agency agreement has been created?
    A Agency by estoppel
    B Agency by necessity
    C Agency by implied agreement

    It would be better to ask your questions in separate posts where the subject could be, for example, “resolutions”, and you could ask questions 2, 3 and 4 in that post rather than mix them up with AGMs and Agency

    1) First after 18 months, 31 October 2011
    Second after 15 months BUT there has to be an AGM in every calendar year so, instead of 31 January 2013 as you might expect, it’s 31 December 2012
    Third 31 December 2013

    2) No, it’s just an ordinary resolution to appoint a director so 21 days notice of the AGM is all that is required

    3) No, just an ordinary resolution

    4) To appoint as auditor someone other than the retiring auditor requires an ordinary resolution with special notice. Why is it special business? Because it’s not ordinary business as is defined by statute. Special manager is a person appointed by a provisional liquidator pending a decision by the Court about whether to issue a winding-up order

    5) Because “implied” suggests that no words or actions have taken place to indicate that Avery is to be treated as agent whereas, in the case that you have set up, Hamble has specifically indicated the appointment of Avery so is now prevented (estopped) from denying Avery’s authority as an agent
