Joint arrangement

Dear Sir, I am revising SBR and in the joint arrangement lecture, there is a difference of accounting treatment if the arrangement is structured - not through a separate vehicle - through a separate vehicle I know this is bit dumb to ask, but vehicle here if I understand correctly would means an agents or company.
