Hi Mike!
Could you explain whether a company is liable if it enters into a contract which is outside its objects?
Yes, a company is always liable to a third party that enters into a contract with a company even though the action lies beyond the permissable activities as outlined by the constitution … how could the innocent third party acting in good faith have known that it was ultra vires the articles?
Legislation states that the validity of a contract shall not be called into question ….
