The issue of managements reluctance to pay a fee when there is an increase in scope should be discussed with the audit committee, but when /can it be charged with those charged with governance?

I’m not sure that I understand your problem, here
The expression “those charged with governance” tends to refer to the non-executive, supervisory board
The audit committee comprises non-executive directors ie members of the supervisory board
So where’s the problem?
