    Hello sir,
    I was trying to understand who are TCWG (according to Corporate Governance) and I would like a confirmation or correction please to the following:

    Those charged with governance. It is the Audit Committee if there is one. It is the shareholder’s committee if there is no audit committee. It is the board of directors if there is no Audit Committee and no shareholders committee. It is the management if there is no board of directors, no shareholders committee and no audit committee.

    TCWG is the audit committee – if there is one – otherwise it’s the board/management itself.

    “Management” is a very broad term that covers different levels and functions – senior manager, sales manager, factory manager, finance director … the list is endless. You would expect anyone with the title “director” to be on the board. The board, collectively, may decide on the appointment of senior managers who are not on the board, or it may be for an individual director (with the agreement of the CEO) to choose who will report to them – for example, the finance director chooses who to appoint as financial controller or treasurer.
