Hello sir,
It is known that a member has no power to sue directors for a wrong committed by thé latter to the company.
So, when you find a case say
Company X v Director of X, what actually constitutes that claimant ?
Is there a condition for a claimant to be called a company ?
Yes, it’s exactly that
The company, acting through its majority of members, has resolved to take action against the director
OK?
