Where an offer is made and “accepted” that acceptance is not the creation of a contract where there is a material variation to a material term within the offer. So, if it’s not true acceptance, then it is taken as a counter offer.
Material alterations would be where the alteration affects, for example, the description of the goods, the time of delivery, the cost of the goods or the quantity of the goods
