    There is a question in the mock exam that says: when a public company wishes to pass a resolution at an AGM to appoint a new director aged 57, how many days notice of the meeting should be given?

    – An AGM requires 21 days notice. But does this notice apply only to notify members about the AGM date or does it apply to all the resolutions proposed for the meeting. For example, for an ordinary meeting this resolution to appoint a new director is 14 days (I believe) but because it will be passed at an AGM does it change to 21 days?

    Correct

    The meeting (the AGM) requires 21 days notice and all the resolutions to be proposed at that meeting will be included in the agenda that is sent out as notice to the members

    If it were not the AGM but was instead an “Other General Meeting” that would require only 14 days notice

    Special resolutions and ordinary resolutions that require special notice (these days) require only 14 days notice

    This contradicts the course notes and the video lectures that state 21 days notice

    All clear now?
