What is the difference between a special resolution and an ordinary resolution. Like..when a director is to be appointed an ordinary resolution is to be passed and when any alteration in articles of association of the company is required then a special resolution is required to be passed. What is the main difference between the procedure of these two types of resolution ?

The differences are:
– period of notice required
– majority necessary for the resolution to be passed
– the matters in a company’s proceedings that can be approved only by the passing of a special resolution as distinct from an ordinary resolutionNot only do the course notes set out these distinctions but the video lectures too explain the differences
Notice is given by the company secretary, in obedience of and following the instructions of the board of directors, to the members of the company in advance of the meeting at which the proposed resolutions are to be discussed and, if thought fit, approved by those members that attend (in person or by proxy) that meeting
