I have alot of problem in resolutions.
1)Which two of the following resolutions passed at a PLC’s AGM are classed as a special business?
A. Authorising the directors to issue more shares
B. Re-appointment of a director (retiring by rotation) who passed her 65th birthday
C. Reduction of dividend proposed by directors
D. Appointment of a new director
2)When a PLC wishes to pass a special resolution at an “other general meeting”, how many days notice should normally be given?
A.28
B.7
C.14
D.21
why is the answer not 14?
1) A and D
2) Because general meetings require 21 days’ notice?
when a plc wishes to pass an ordinary resolution at ‘other general meeting’ to appoint a director, how many days notice should normally be given?
a.7
b.21
c.14
d.28
why 14 days in this general meeting then?
I can’t help feeling that the answer to your original question should be 14 as you have suggested
It USED to be 21 days notice for a special resolution but that time period has been reduced to just 14 and an “other” general meeting requires only 14 days
So the answer to that second part of your original post should be “I don’t know why the answer that is printed suggests anything other than 14”
