    Dear sir,

    This is some of the questions I encountered while attempting the multiple choice questions on Open Tuition:

    1. When a public company wishes to pass an ordinary resolution with special notice at an “other general meeting”, how many days’ notice should normally be given?

    => Answer: 21
    I remember for a special notice, 28 days is required, please correct me if I am wrong

    2. When a public company wishes to pass an ordinary resolution at an “other general meeting” to appoint a director celebrating her 72nd birthday, how many day’s notice should normally be given?

    => Answer: 21 days

    Compared with the folowing:

    3. When a public company wishes to pass an ordinary resolution at an “other general meeting” to appoint a director celebrating her 57nd birthday, how many day’s notice should normally be given?

    => Answer: 14 days

    Why the answer is different for 2 and 3? Does the age of the director have something to do with it?

    Thanks!

    I remember for a special notice, 28 days is required, please correct me if I am wrong

    28 days notice must be given to the company. The company in turn gives 21 days notice of the meeting

    2. When a public company wishes to pass an ordinary resolution at an “other general meeting” to appoint a director celebrating her 72nd birthday, how many day’s notice should normally be given?

    => Answer: 21 days

    That’s correct – an overage director needs to be appointed / re-appointed by ordinary resolution with special notice and that, as above, is 28 days notice to the company and 21 days notice of the meeting

    3. When a public company wishes to pass an ordinary resolution at an “other general meeting” to appoint a director celebrating her 57nd birthday, how many day’s notice should normally be given?

    Again, the answer is correct – 57 years is not overage so the notice period is dictated by the meeting and not by the resolution. An “other general meeting” requires 14 days notice

    OK?

    Thank you very much! I did the CBE test today and guess what, I got a few questions on company resolutions!!!

    Anyway, I passed with exactly 90%, so lucky! Thank you so much for your wonderful lectures and your kind help!

    Best regards,

    Ruby, there is no way on this Earth that a score of 90% in a law exam can be classed as “lucky”

    Very well done indeed on an excellent performance.

    Now for F5 and onwards 🙂

    Actually I’m done with all F papers. F4 was my last one. I left it until the last minute because I didn’t like theory paper so much, all the reading makes me bored. Then I checked out your F4 videos and found out F4 was not that horrible, it was very interesting the way you delivered the subjects.

    Now I’m preparing for P1 and P2, just watched 1 of your P2 lecture, it is so great. Once again, thank you so much. OT and your lectures are the best thing I’ve found during my ACCA journey. God bless you Mike!
