1. Do the Shareholders appoint the Directors to the Board?
2. Who chairs the Nominations Committee?
3. Is the Nominations Committee comprised of only or mostly NEDS? As I am assuming the Chairman and CEO are members Nominations Committee?
4. Who chairs the Audit Committee? Is it comprised of only NEDS?
5. The Audit Committee makes recommendations on external auditor while the Shareholders approve the appointment at the AGM, is this correct?
1 – Yes
2 – a NED
3 – Mostly or all NEDS
4 – The chair of the audit committee – no other specification
5 – Absolutely correct
Just to clarify:
1. Is the Chairman typically part of the Nominations Committee given the Chairman’s leading role in determining the composition and structure of the Board?2. Is the CEO usually part of the Nominations Committee given the CEO’s role in selecting and evaluating Board Members?
3. Is the Audit committee comprised of only NED’s?
