” A person who acts in a professional capacity in the formation of a company is not promoter”

– What does that sentence mean?
Is it saying that if for example, a professional advising someone else how to form a company is therefore not a promoter?

When I used to operate my own little accounting practice, sometimes clients would ask me to form a company for them

So I did. But, acting in my professional capacity to form a company for my clients did not make me a promoter

OK?
