    i completely agree with u that it was a commercial agreement as it expressly showed business reasons for the contracts made.
    so it created legal relations. both were bound to pay ammy.
    it was truly a examiner’s trick to make students feel that these were domestic by showing that these both were brothr and sistr and for other friends….
    so 100% sure that it was a commercial agreement…

    promissory estoppel cant cme. coz in promissory estoppel a person cnt go back on his promise to accept a lesser amount as in central london trust ltd vs high trees house, as never mentioned in question that ammy has promised for accepting lesser amount and any of the condiotons of promissory estoppel. so no promissory estoppel at all.

    It was overall Fine, but I am very amazed at what silly topics were examined or asked by examiner.. He could have asked more important topics of Law. He left many many important topics… May be they are again trying to bring the pass rate down… Statutory registers’ question was amazing, examiner missed an opportunity to ask a discipline question instead. Totally Angry with examiner..

    the paper was nice and i was able to attemp all questions to satisfaction…i only have doubt for question about shares, but if what sizzlin89 said is right then i’m made!

    These are rights that existing shareholders have..they have rights to be proposed any issue of shares or transfer of shares prior same is proposed to any third parties/public. These are also called sometimes right for first refusal

    I found the exam intense! i had a lot of knowledge on the questions asked but writing and showing the examiner what i knew to get full marks was hard as time was tight!
    There was 1 question which i read and thought ‘What!?!’ i can’t remember reading about this?… it was the preemption shares and therefore i wrote nothing about it, so i decided i’d make more effort in other questions? i really hope i pass as i made a hugh effort to learn and understand this subject. i hope the examiner takes this question into account when marking 🙁 good luck to everyone! Thanks to Mike Little for his Fantastic Lectures! they helped me understand the subjects far better than what is just written in the Text books.

    fionaacca, sorry to interrupt but i feel i also had similar problem during the exam. i had lots of knowledge about most of the questions that came up in the exam but to explain myself well to get the full marks. this was not easy for me.

    In general, the paper was easier than expected. The English Legal System question and the Shares question were perfect gifts!!. I think duties of Directors was OK, but I think that question 8 is a clear question on breach of contract and remedies. Question 9 might be malicious as the main element was only implied and appealed to our knowledge of basic accounting principles: dividends are only payable from Profits!!

    I have taken the GLOBAL stream, i dont see it to be a balancing paper, the question about “unauthorised payment” is very dissapointing.

    LOOK ALL….i’m going to be very honest….the paper was the easiest F4 in years…if you had revised proerly question1,2,3,4,5,7, and 8 came in the past. Question 9 even though it did not came in the exact format similar to a past question, it came in a theory question. Question 4 however, even though it did not come in any past sittings (back to 1998) you could have written on it and gain some kind of marks-howevwer bonus issues came in a past sitting ( personally i hated it as it tested a very narrow area of the syllabus-also i could not have given a “perfect answer” in my opinion i.e; around a 7 or 8.

    However! we are not all perfect…while question 10 you could have relied on basic knowledge….even though i correctly gived extensive knowledge on relevant partnership law…and said the external debt followed by the loan must be paid firstly and even gaved the proportion of any remaining capital left that would be payable…i though i saw 17000 instead of 7000 and hence in my conclusion i sad that no capital was left to be paid to any partner…clearly not a perfect answer..

    MORAL OF THE STORY: we are not all perfect even though we prepare throughtly…(even though i swore i saw 17000) hence…dont beat ya self up…instead learn from your lessions and make sure that you dont repeat your mistakes in your next exams…in the meanwile enjoy the holiday and look foward to making the next session even better and proving your critics and yourself wrong…..

    oh and for all those concerned…question 8 was about intention to create legal relations…not pronmissary estoppel or consideration…it was about her brother and friend…domestic/social comes to mind!

    With question 2 being specifically about breach of contract, I don’t think it is likely the examiner would set question 8 on the same topic…

    hey guys, abt the breach of contract, how should we have asnwered? breach of a condition? or breach in contract in general? should we have mentioned case of Poussard etc??
    for duties of i did not quote any cases =S
    q8 was about everything in contract?? any1 can suggest wat should be the answer?
    overall fair paper, concentrated too much on corporate though =S

    I am planning to have F4 global on June 2011 but I have the BPP study and exercise books of 2008.Is that ok or I have to buy 2011 edition?

    Although i attempted the Global variant, the online lectures were of great help..
    Was a comfortable paper, just hope its going to be a pass.. Although i felt there was a repetition of one topic in the direct question and a scenario question (Sellers obligations) unless i misinterpreted the question…
    In any case hope i make it….
