Hello. To the question: when a public company wishes to pass an ordinary resolution at ‘other general meeting’ to appoint a director celebrating her 72nd birthday how many days notice should normally be given?
Can you explain why the answer is 21 days if it’s an ordinary meeting not an AGM why is not 14 days?

March 23, 2019 at 9:08 pm #510243The answer is 21 because, for ordinary resolutions that require special notice (like this) the notice period is special
HOWEVER!!! I am in the process of updating these law questions and one of the updates relates to this question
As I was reading through the Companies Act the other evening, I discovered that the notice period for an ordinary resolution that requires special notice is now reduced (from 21 days’ notice) to just 14 days
The answer in the test question is therefore incorrect (it was correct at the time of writing the question)

March 26, 2019 at 9:05 am #510461Can I also jump on the wagon? I’m doubly confused as i thought an ordinary resolution with special notice was 28 days notice rather than 21 and now 14? I must be missing something I imagine.
I have my exam in thirty minutes so I suppose I’ll have to go with my gut instinct if it comes up! 😀
Edit: I’ve just realised its 28 days notice to the company but 21 to the members right? Prior to the recent changes you mention of course

The key age is 70, it’s applicable only for public companies and the relevant numbers are 28 and 14
OK?
