1) Does NED accept a fixed fee?
2) NED does not demand fixed term contract?1 A fixed fee per year or per meeting. In particular, the remuneration should not depend on company performance.
2 NEDs should be apointed for specified periods (subject to statutory provisions for the relection or removal of any director eg by members’ votes). Any period of over 6 years should be subject to rigourous review.
