Hi,
To the question in the mock exam: which type of company meeting requires 21 days’ notice to be given unless the members give their consent to a shorter period?
a)an other general meeting where a special resolution is proposed
b)an annual general meeting of a private company
c)none of the options require 21 days’ notice
d)a class meeting
can you explain why the correct answer is c)? an AGM requires 21 days’ notice so I would say b) is the correct answer. Is this only for public companies? how many days notice is for AGM for private companies if it’s not 21?

Private companies no longer need to hold an annual general meeting – since (I believe) 2010
I think the wording in this question is a bit confusing. For example, I knew from the lectures that private companies no longer require to hold AGMs but, if they do, 21 days notice will be required. So if a private company decides to hold an AGM, there will be requirement to give 21 days notice that’s why I thought the correct answer would be b). You can also interpret it in the way you suggest. Are there questions like this one in the real exam?
Hmm, I’ll need to think about whether this is not clear enough or whether it is truly ambiguous
As for your final sentence, I understand that the ACCA takes all reasonable steps to ensure that such possible misinterpretations are reduced to a minimum – hopefully completely eliminated
