Sir what is the difference between “management” and “those charged with governance”?
I used to think they are the same i.e. management=directors=charged with governance.
But apparently after reading the initial few chapters it seems that they are different. Can you explain how exactly?
Sir my initial few questions may be silly, as I have never read anything even remotely associated with the content that’s there in AA. Spare me your wrath.

They can be the same in a smaller, private company – e.g. an owner-managed company – where there is no need for strategic oversight. But public companies need to have (and need to be seen to have) oversight – in essence, that is what best practice in corporate governance is all about. For a public company, TCWG will mean the audit committee (assuming there is one).
