Hi Mike!

What will happen to the director who has acted beyond their power but in the interest of the company? Is that a breach of the act?

No, but it’s a breach of the agent’s powers and the director may be required to compensate the company for any consequent loss suffered

And if s/he does it repeatedly, that director could well find themselves voted out of office or asked to resign from office
