Can the BOD collectively remove any director/CEO or chairman? or they can only recommend their removal in general meeting?
For directors, the removal should have certain specific reason to remove or dismiss such as legal right and responsibility, contract service, removal, disqualification, insider dealing, conflict of interest, and retirement by rotation.
They are also allow to remove in AGM or break any of the legal and regulatory framework without the majority approval of the member of the board.
hope it will help you, and please no hesitate to tell me if i have telling the wrong things.
So far as I am aware, only the members by ordinary resolution have the right to remove a director and this must be done at a general meeting ( not necessarily an ANNUAL general meeting ). There are exceptions such as the Court may remove and so can an Administrator, but the general principle is that the members decide who shall ( and who shall not ) be directors of their company
