Sir can you please tel me that whether these 3 are grounds for disqualification of director under model articles:
1) director becomes insane
2) bankruptcy
3) director is absent from board meeting without permission for 6 monthsSir apart from these are there any other ground for directors disqualification under model articles?
I see NOTHING in the model articles that mentions directors’ disqualification
Article 16 gives the directors the power to change the model articles to incorporate any rule that they wish to adopt
“Directors’ discretion to make further rules
16. Subject to the articles, the directors may make any rule which they think fit about how they take decisions, and about how such rules are to be recorded or communicated to directors.”
