Below are items tht should b present for us to say its sound:
1) correct balance of executive & NEDs in e board ie equal number. May vary with regulatory environment of e dfrent institutions eg Banks & thoz listed
2) Presence of an audit committe wch meets regularly to review internal controls of e organisation
3) Separation of roles of CEO/MD and Board chairman. Ensures a proper reporting structure rather than giving one person too much power
