    Hi

    need to ask that if there are five executive directors in a listed company, then the NEDs should have to be in same number to balance it out or just minimum of three NEDs in all situations??

    According to the 2018 UK Code (as summarised in our notes) there is no minimum for the board as a whole – it is only for the relevant committees – audit, remuneration, etc that three is specified as a minimum.
