    in bpp revision kit it is written that a company cannot change its domicile but in Becker one it says it can change its registered agrees .

    Also in bpp it says public company must have one member but Becker says two

    Plz help

    A company registered in England and Wales can change its registered office to another address in England and Wales. What it cannot do is change its registered address to a place in Scotland, or Bulgaria, or ….. well, anywhere other than England and Wales

    Number of members? The following is an extract from the internet posted in May 2015!

    “There are some specific requirements for a PLC which must be met:

    The minimum number of shareholders must be two (a private limited company only needs one shareholder)”

    I believe that the number is two, but there is sufficient doubt in my mind that it may be one following some recent legislation!

    So in exam what should I answer can company change its domicile it was only written can company change its domicile

    Also in exam I should give Plc should have minimum two or one ???????????

    I’d still go for 2 members

    A company CANNOT change its domicile! It can change its registered office within its country of domicile, but it cannot change its country of domicile. It can move from Chennai to Mumbai, but it can’t go from Chennai to Tashkent

    OK?
