hi,
it is stated in notes that in case of compulsory change of name a new certificate of incorporation will be issued. Does it mean that company is liquidated and new company opened or it is just paper formality?
Section 81 of the Companies Act 2006 deals with the effect of the change of name of a company. Basically, the legal personality of the company is unchanged by the change of name and it is considered for legal purposes to be the same entity,albeit with a different name, as before the change of name came into effect with the issue of the new certificate of incorporation.Its existing rights and obligations are unaffected by the change of name as are any legal proceedings carried out by it or against it under its previous name.
