With the CA 2006 can you help me to know what make the Memorandum of association and Articles of Association?
I’m not sure I understand your question.
The Memorandum is now just a “matter of historical record” ie these people wish to form a company and call it ABC Limited
The Articles have now assumed the position of prime importance and contain ……whatever you want them to contain. However, they are the “contract between the company and its members ( as well as between the members and the members ) so the more detail you include within the Articles, the less chance there is of a major dispute in the future.
