    Dear Sir,

    I came across this paragraph in BPP (Global) textbook.

    The effect of the duties are cumulative, in other words, a director owes every duty to the company that could apply in any given situation. The Act provides guidance for this. Where a director is offered a bribe for instance they will be breaking the duty not to accept a benefit from a third party and they will also not be promoting the company for the benefit of the members.

    I couldn’t understand the part where if director is offered a bribe, how will he break his duties if he does not accept it?

    “…they will they will be breaking the duty not to accept a benefit from a third party and they will also not be promoting the company for the benefit of the members. and they will also not be promoting the company for the benefit of the members.” The duty is “not to accept a bribe so the director, if he accepts a bribe will “be breaking the “duty not to accept a benefit” from a third party”

    OK?

    It’s awkward sentence construction

    “will be breaking the duty not to accept a benefit from a third party and they will also not be promoting the company for the benefit of the members.”

    The duty is “not to accept a benefit” and, if a director DOES accept a benefit, then that director is breaking the duty “not to accept a benefit”

    The duty is “not to accept”

    If you DO accept, then you are breaking that duty

    If the wording had said “will be breaking the duty IF HE/SHE ACCEPTS a benefit from a third party” would that be better for you? Because that’s what it means
