Dear Sir,
I came across this paragraph in BPP (Global) textbook.
The effect of the duties are cumulative, in other words, a director owes every duty to the company that could apply in any given situation. The Act provides guidance for this. Where a director is offered a bribe for instance they will be breaking the duty not to accept a benefit from a third party and they will also not be promoting the company for the benefit of the members.
I couldn’t understand the part where if director is offered a bribe, how will he break his duties if he does not accept it?

The duty is “not to accept a benefit” and, if a director DOES accept a benefit, then that director is breaking the duty “not to accept a benefit”
The duty is “not to accept”
If you DO accept, then you are breaking that duty
If the wording had said “will be breaking the duty IF HE/SHE ACCEPTS a benefit from a third party” would that be better for you? Because that’s what it means
