why should not divided by 1.10 (cost of capital 10%) for deferred consideration ?

For how many years should we discount this deferred consideration?
The question doesn’t tell us so we’re not able to apply discounting to the loan note
But well spotted and well done for knowing how to apply the discounting even though we’re not able to do it in this question
