CEO is appointed to the position by the other directors
It is assumed (implicit within the position) that the CEO has power to do anything and everything with reference to the entity’s affairs
IF there is something within the constitution that is prohibited or IF the board of directors has resolved to limit those powers, then that’s a possibility … but rare
OK?
