Hi guys,
Sorry if this has already been answered but couldn’t find it.
Are the CEO and Chairman both executive directors? It seems that all the questions I read state who the CEO/Chair is and then states how many NEDS there are.
If they are both executive directors and there are say, 4 other executive directors then should the amount of NEDS be 6? Or is it excluding the CEO/Chair.

Hi Glenn,
If the question says, “the CEO is also the chairman of the board,” then this person is not a NED, he is an executive director.
Thus, if the question also says, ‘there are 4 NEDS,” this is the total, it doesn’t consider the guy above–he is a full-time director, running the company (not a NED).

So in normal circumstances a Chairman is considered a NED and the CEO is considered an executive Director?
