Hi Mike!
1.Could you explain the term ” capacity as members”
2. I do have watched your lectures but still has some issues understanding why Eley could not rely in the articles. Please explain it?
In the context of Eley, the expression “capacity as members” means that Eley could only rely on the contract within the Articles in so far as his interests had been harmed AS A MEMBER and not on the grounds that his interests had been harmed AS THE COMPANY’S SOLICITOR
