    Hi
    IS Board Committee diff from BOD??

    I thought the two are same,but recently I am puzzled.
    One kind of learning material said that
    1)Board Committee give advices to BOD.
    2)Board Committee is not involved in the coporate decision making,which is done by BOD.

    So,can anyone help me?
    Just tell me the answer and the reason.

    Board of directors (NED or ED) are part of Board.

    Board have sub Committes which included Board members

    Remuneration Committee consist of NED
    Audit Committee consist of Independent NED
    Risk Committee consist of Executive Directors

    BoD refers to the entire board of directors as a whole. That means all of them. Most texts, when they refer to the Board, Director(s) and the Board of Directors, use the term interchangeably.

    Board Committees refers to different committees within the board itself that handles specifically delegated roles. Example would include:
    [ol]Remuneration Committee
    Audit Committee
    Nomination Committee
    Risk Committee[/ol]

    The two posts in reply seem to distinguish the two separate titles. Board committees are sub-committees comprising board directors. these su-committees will report back to the full board.

    You are correct, the sub-coms report to the full board.
