Sir I m confused in the following extract, does they both have same meaning? Can you please explain
“The firm is not bound by the implied authority of a partner if:
• the third party knows the partner has no express authority, or
• the partner has no express authority and the third party does not know
or believe him to be a partner.”
”Implied authority of partner can only be withdrawn if an express clause is stated along with third party notification for restriction on implied authority.”
They are effectively the same … to the extent that I would find it difficult to distinguish the one from the other
