When auditing issue of shares, which evidence does the auditor is looking for by inspecting a prospectus?

It’s not the auditor that issues a prospectus! A prospectus in law is defined as “any prospectus, advertisement, notice, invitation or circular inviting the public to subscribe for or purchase any shares or debentures in the company”
