Sir, What do we mean by 28 Days notice to COMPANY…?
Does that mean notice to company and thus to DIRECTOR itself?Hi Sourav,
28 Notice only applies to “Special Notice” of a resolution for example when proposing the removal of a director or an auditor.
So if for example there is a proposal to remove a director, then “Special Notice” of 28 days must be given to the Company of this proposal. This essentially means that for this proposal to be discussed at the meeting it must be given at least 28 days before the date of the meeting.
When the Special Notice for example proposing a director to be removed is received by the company, the company must then send a copy of the special notice to the director who is being removed so that the director can exercise their rights to defend themselves by writing a memorandum or even representations at the shareholder meeting.
