Are the following statements correct
An ambiguity in the contract will be interpreted against the party trying to avoid liability
A contract is not legally binding if it is a private agreement

Yes and
No (depends what you mean by ‘private agreement’. To be binding, a contract must be made with BOTH parties intending that it should be legally binding (made with the intention of creating legal relations))
