    Question: Which of the following statements as regards an acceptance of an offer ‘subject to contract’ is true?
    a)It binds the offeror
    b)It binds neither party
    c) It binds both parties

    If this isn’t homework, then the questions are from a bank of questions where answers are already provided

    So tell me what it is about the printed solution that you don’t understand and I’ll see if I can throw some light on it

    In the above question,what does acceptance of an offer subject to contract mean. I think it means that once the offer has been accepted it becomes acceptance and therefore part of the contract. The correct answer seemed to me to be option b but it is incorrect and there is no explanation in the practice kit as to why it is incorrect.

    An acceptance ‘subject to contract’ is not an acceptance

    Acceptance should be complete and unconditional

    A ‘subject to contract’ ‘acceptance’ is where the ‘acceptor’ is saying ‘yes, I’ll go ahead with the deal on condition that we can enter into a binding contract’ which may mean that the ‘buyer’ wishes to carry out some pre-contractual checks before becoming bound (due diligence checks?)

    So the correct answer is ‘it binds neither party’

    OK?
