Respected Sir,
You said” promoters are the agents of the people who have engaged them to form a company on their behalf” and the definition of a promoter is ” a promoter is person who undertakes to form a company and who takes the necessary steps to accomplish that purpose”. So this definition excludes a person acting purely in professional capacity from being a promoter. So my question here is that , when i am a single person who wishes to form a company and I instruct a person acting purely in professional capacity to do that for me, this makes me promoter , is not it right ?
In addition to that, I am going to be sole member and may be sole director of the company ,not yet formed, then whose agent I am?May 4, 2012 at 4:47 pm #97095I have answered this. You may claim it to be a different question, but I’ve still answered it!

However, the reply ( from memory ) went something like “In a situation like that, you have to accept that one person is acting with two different persona. It’s like wearing two different caps / hats dependent upon behalf of which persona you are acting.”

Leave it! Or look it up for yourself in some reference library. But trust me, it will not appear in any F4 exam in the foreseeable future!
