Hi, is the re-appointment of a director who passed her 70th birthday ordinary or special business? I thought re-appointment of directors was ordinary business but does the age has something to do?

Yes, it does! Ordinary business is restricted to just 4 elements and is defined as ‘that business that can be transacted at a company’s agm without any notice being given
The re-appointment of an overage director to a plc requires special notice so that immediately takes it out of the realm of ordinary business

So overage directors are those who over 65 or over? is that only for plc or for private companies as well? Thanks
The relevant age is 70 and the law relates only to public companies
