This isn’t examinable in AA but in many jurisdictions, including the UK, directors are appointed, reappointed and removed by a general meetings (i.e. members/shareholders) by passing an ordinary resolution (i.e. 50% majority). There is no distinction in this respect whether they are executive or non-executive – these are labels which describe their roles.
