March 26, 2018 at 8:37 am #443770It would be better to ask your questions in separate posts where the subject could be, for example, “resolutions”, and you could ask questions 2, 3 and 4 in that post rather than mix them up with AGMs and Agency
1) First after 18 months, 31 October 2011
Second after 15 months BUT there has to be an AGM in every calendar year so, instead of 31 January 2013 as you might expect, it’s 31 December 2012
Third 31 December 20132) No, it’s just an ordinary resolution to appoint a director so 21 days notice of the AGM is all that is required

4) To appoint as auditor someone other than the retiring auditor requires an ordinary resolution with special notice. Why is it special business? Because it’s not ordinary business as is defined by statute. Special manager is a person appointed by a provisional liquidator pending a decision by the Court about whether to issue a winding-up order
5) Because “implied” suggests that no words or actions have taken place to indicate that Avery is to be treated as agent whereas, in the case that you have set up, Hamble has specifically indicated the appointment of Avery so is now prevented (estopped) from denying Avery’s authority as an agent
